The company seeks a Commercial Counsel to support business growth by managing partner agreements and commercial arrangements.

This role collaborates closely with product, operations, business development, and partnership teams to navigate complex legal issues and scale operations. In the first year, the professional in this position will draft and implement enterprise agreements, lead negotiations with retailers and strategic partners, provide strategic legal counsel, manage cross-functional projects, and apply best practices for artificial intelligence integration.

The position requires staying current on regulations related to privacy, advertising, competition, intellectual property, consumer protection, and the gig economy, as well as drafting standard policies, disclosures, and form agreements. Candidates should possess strong negotiation abilities, sound business judgment, and the capacity to handle competing priorities while communicating complex legal concepts clearly to non-legal audiences.

Compensation is market-competitive and varies by permanent work location across different US states. Successful candidates are eligible for new hire equity grants and annual equity refresh grants.

Responsibilities

  • Draft, negotiate, and implement major enterprise and partner agreements across all areas of the business
  • Lead negotiations with retailers and strategic partners to align internal stakeholders and close deals
  • Provide strategic legal guidance to internal business clients regarding approvals, conditions, declinations, or escalations
  • Lead special legal and cross-functional projects from inception to completion
  • Implement best practices for integrating artificial intelligence into legal work
  • Monitor advertising, competition, intellectual property, consumer protection, gig economy, international, and privacy laws and translate them into compliance advice
  • Draft terms, policies, disclosures, and supporting processes
  • Advise internal clients on the application of executed agreements
  • Create and update form legal agreements and playbooks
  • Conduct legal training for clients and colleagues

Requirements

  • A J.D. from a top-tier law school and membership in at least one state bar, preferably California
  • At least 6 years of related experience at a leading law firm or in an in-house legal department
  • Experience with legal issues in the Internet and e-commerce spaces, specifically privacy, SaaS, and payments
  • History of managing strategic partner negotiations and contract drafting from start to finish
  • Strong negotiation presence and ability to lead teams toward shared goals
  • Sound business judgment and capability to manage multiple high-priority tasks
  • Ability to provide concise legal advice and work effectively cross-functional teams

Qualifications

  • In-house legal experience at a tech company or retailer
  • Experience in alcohol law, international law, privacy, and data security laws including GDPR, CCPA, and CPRA
  • Experience with artificial intelligence governance and privacy-by-design in machine learning and AI product development
  • Experience in AdTech
